This far i have always made rectangle signs.
But i would like to have little rotated sign like this,

but i have problem, what i am doing wrong to keep the background transparent??
using abode photoshop cs3

you should start off at a transparrant bg.

when making a new file, select "background color" = "transparrant"

then when u are finished save it as png or gif, cause those files support transparency, jpg doesnt.
