Currently have a GTX 770 with a i7-4770k 3.50ghz processor. If I decide to upgrade the graphics card, can I stay on the same processor?

What are the benefits of also upgrading the processor? Is it even worth? how about gtx 980?

you want to replace your 770 with a 970?
I am going to say that would be a silly idea.

you will notice no benefits to upgrading your processor.. well assuming you aren't doing anything crazy that would max it out. which I am assuming you are not.
upgrading to a 980 would make a lot more sense than upgrading to a 970. upgrading to a 970 from a 770 isn't really worth it in terms of performance you will gain to price you will be paying.

Your CPU is fine, for a few years yet. The 770 to 970 will absolutely make you a happy camper.
