Sorry by hardware I meant physical product. Phrasing. Still correct.

If your buddy did that, he would technically be going against Microsoft ToS as that key was not being used for its intended purpose.
Similarly: getting free keys through MSDN and selling them for cheap because you don't need 'em. Their intended purpose is for development.

They're not illegal. They're against their terms. The only way they could prove is if they somehow figured out that either

a. a key from MSDN was activated on a PC it wasn't supposed to (how would they know this?)
or
b. a person who has MSDN keys is selling them instead of just using them

How would they know if they're being sold and activated or simply activated on developer PCs? They wouldn't. There's no way to tell.

If a subscriber gets caught, they disable all of the keys they were ever given.

They don't know who the sellers are. Only Kinguin does. A subpoena isn't a viable option to get reseller info because what proof would they have to get a subpoena issued by the courts?

They sell cheap keys. They are cheap because they are purchased via stolen credit cards, keys that are not meant to be sold, or are breaking Microsoft's rules and ripping them off in some other way.

E: They're only legit insofar as they are real, working keys.
