Your cd is fucked. Download the same version if you have a legit CD-key and burn it as an Img file that would make it boot-able...

Also, yeah, you have to find a better disk. I suggest getting a W7 upgrade disk if possible.

Hmm, okay well this is weird... I'm almost positive it's a virus. If you can't reformat try using System Restore to 3 months back from when your computer was running just fine.

I seriously don't understand how reformatting doesn't work for you... ;S
