If you had an ls2 goat I'd say mod it, but in what you'd spend the modify the ls1 you might as well just get an ls2. At the same time, for what a good LS2 would cost you could pretty well buy a 2011 5.0 and have something even faster. It all depends on what you want.

if i were to buy a new car, i think a mustang would be my last choice...i see so many of them, it makes me not want to own one.

heres the cars im actually interested in, maybe i should have said this before.

European (most of these would be a 2007-2011 model)
1: audi s5
2: c63 amg
3: cls63 amg
4: bmw m6

American:
1: Corvette c6 LS3 (not sure if i could get into a z06 for under 40k)
2: CTS-V
3: GT500 (2011+ model, this is again my last choice)

Basing your choice off of what you don't see often is retarded. Regardless, you can get into a C6 Z06 for under $40k no problem. If you really looked you could get into one for under $30k. In even making that list you've pretty much answered your own question on whether or not you want to keep the goat though. The gap is way too big.

Every car he listed in pretty easily attainable for under $40k lol. I was looking at a 2011 C63 P31 package with 30k this summer for $35k.

The reason I was looking at that one car was it was such a good deal. Its not normal, but the deals are out there. An earlier model with low mileage won't be hard to find at all though.

convert to batmobile is the only real solution....50 years later and it will still be a future car.

Keep it. Once you start modding the difference in the ls1 and ls2 is not very big unless you pull the engine out and stroke it. At that point you could buy an ls2 402 to go back in it. The difference is in the bore. The larger bore ls2 can accept the bigger, badder heads out there. That said, they cost more money.

There are some really good cnc programs out there for stock 243 castings (ls6 heads.) AI makes a nice set. People make 450-470whp with those heads and quality supporting mods on an ls1 when using a healthy cam.

That is enough to trap 122mph in a GTO.

Heads-$1800
Valvetrain-$600
Oil pump/timing chain-$250
Cam-$400
Tuning-$500-$750
Clutch-$600

Broken rear end-Priceless
