Okay, I had little break, I took a look on some tutorials and tried again - Is it better? :x

Yes, but no.

Reread what sicklad wrote. My eyes hurt when i see the shadow and the wings. Since its more or less focal of the manip...hngh.

Choose stocks that match, not random ones that you'll attempt to make match.

You chose a rough digipaint to put in a real life photo, doesn't make sense.
